BSP acted as Luxembourg counsel to Chemo Project (Insud Pharma) in its investment into Procaps Group, S.A., a leading Latin American healthcare company, headquartered in Luxembourg. The transaction involved a USD 90 million private placement and the conversion of a USD 40 million convertible note, effectively restructuring the company’s debt and resulting in investors holding a 90% equity stake.
Our team advised on the Luxembourg law aspects of the transaction, including legal due diligence, corporate documentation, negotiation of the SPA, and post-closing governance matters. This engagement highlights our strong capabilities in cross-border pharmaceutical transactions and complex Luxembourg investment structures.
