Our team of experienced lawyers represents domestic and international lenders and borrowers on a wide range of complex financing transactions including senior and subordinated financings, project and acquisition financings, asset-backed financings. We advise on Luxembourg law issues, assist in the drafting of documents and help design appropriate security packages.

We are also working regularly on structured finance transactions, in particular securitisations carried out under the Luxembourg law of March 22, 2004. We advise both originators and arrangers on securitisations involving a wide variety of assets such as: commercial and residential mortgage-backed loans, auto loan and leasing receivables, credit card receivables, differed payment rights and non-performing loans.

We were instrumental in setting up several multi-billion Euro structured note programs sponsored by large banks using Luxembourg securitisation vehicles. Together with our capital markets and tax teams we provided the full range of services required to successfully launch these programs.

    Luxembourg banking and financial industry has expanded over the years to become an international centre of excellence and one of the key financial centers in the world, where private banking takes a leading position.

    Our capital markets team has extensive experience and advises clients on both equity and debt transactions.

    Our team advises on the full range of debt-related capital markets, including stand-alone bond issues (including Eurobonds); convertible bonds and exchangeable bonds; establishment and maintenance of debt issuance programs; and debt-related structured products.

    We also offer our services in the listing and admission to trading of high-yield bonds, an area which has experienced considerable growth these last years due to the recognition of the Luxembourg Stock Exchange as one of the Europe’s leading exchanges for high-yield bonds.

    Our team is equally very active on the equity capital markets and advises on the full spectrum of equity-linked transactions, including initial public offerings; public offerings; rights issues; private placements; exchange offers; and applications for listing and admission to trading on the Luxembourg Stock Exchange.

    Our team is specialised in complex cross-border transactions, where various practice areas like capital markets, corporate, supervisory and tax are closely linked, such as cross-border mergers, refinancing of industrial companies, etc.. In each case, we work closely with specialists from other teams, in particular Corporate, Mergers & Acquisitions and Tax to advise our clients in a rapid, comprehensive and consolidated manner.

    Our team advises on all aspects of regulatory compliance including regulatory filings; disclosure of shareholdings and management transactions; ongoing reporting obligations and ad-hoc publicity (transparency requirements); executive compensation; insider trading and market abuse rules; tender offer obligations and general duties relating to stock exchange requirements.
